These Terms of Use govern your access to and use of the WeaveONE application and services. Our platform is specifically designed to support neurodivergent children and their families. Please read these terms carefully as they contain important information about your legal rights, remedies, and obligations.

1. Introduction and Acceptance of Terms

1.1. WEAVEONE LIMITED ("WeaveONE," "we," "us," or "our") provides a digital platform designed to connect children, parents, educators, and professionals with tools for seamless communication, emotional expression, and collaborative support for neurodivergent children.

1.2. By accessing or using the WeaveONE application ("App") or any services provided through the App, you agree to be bound by these Terms of Use ("Terms"). If you are using the App on behalf of a child, you represent that you are the parent or legal guardian of that child or have obtained appropriate consent from the child's parent or legal guardian.

1.3. If you do not agree to these Terms, you may not access or use the App or services.

2. Definitions

2.1. "App" refers to the WeaveONE application, available on web platforms.

2.2. "Services" refers to all features, functionalities, and tools provided through the App.

2.3. "User" refers to any individual who accesses or uses the App, including parents, guardians, children, educators, and professionals.

2.4. "Content" refers to any information, data, text, images, videos, audio files, or other materials uploaded, shared, or created through the App.

2.5. "Subscription" refers to the paid service that grants Users access to all features of the App for the duration of the subscription period.

3. User Eligibility and Account Registration

3.1. Adult Users: To create an account and use the App as an adult User (parent, guardian, educator, or professional), you must be at least 18 years old and capable of forming a legally binding contract.

3.2. Child Users: Children under the age of 16 may only use the App with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on the child's behalf.

3.3. Account Creation: When creating an account, you agree to provide accurate, current, and complete information and to update this information as necessary to maintain its accuracy.

3.4. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify WeaveONE immediately of any unauthorized use of your account or any other breach of security.

3.5. One Account Per User: Each User may maintain only one account, unless explicitly authorized by WeaveONE for specific professional or educational purposes.

4. Parental Consent and Children's Usage

4.1. Parental Responsibility: Parents or legal guardians are responsible for supervising their child's use of the App and ensuring that such use complies with these Terms.

4.2. Verifiable Parental Consent: We obtain verifiable parental consent before collecting, using, or disclosing personal information from children under 16, in compliance with applicable children's privacy laws.

4.3. Child Safety Features: WeaveONE implements various features designed to create a safe environment for children, including restricted messaging capabilities and content moderation.

4.4. Parental Controls: The App provides parents with controls to monitor and manage their child's activities, including the ability to review communications and approve connections.

5. Acceptable Use Policies

5.1. Compliance with Laws: You agree to use the App in compliance with all applicable laws, regulations, and these Terms.

5.2. Prohibited Activities: You agree not to engage in any of the following prohibited activities:

  • Using the App for any illegal purpose or in violation of any laws
  • Sharing inappropriate, offensive, or harmful content
  • Harassing, bullying, or intimidating other Users
  • Impersonating another person or entity
  • Interfering with the proper functioning of the App
  • Attempting to gain unauthorized access to any part of the App or its systems
  • Using the App to transmit viruses, malware, or other harmful code
  • Collecting or harvesting information about other Users without their consent
  • Using the App for commercial purposes without explicit permission

5.3. Communication Guidelines: All communications through the App must be respectful, appropriate, and relevant to the purpose of the App. WeaveONE reserves the right to remove any content that violates these guidelines.

5.4. Reporting Violations: Users are encouraged to report any violations of these Terms or any inappropriate content or behavior to WeaveONE.

6. Intellectual Property Rights

6.1. WeaveONE Ownership: The App, including all of its content, features, and functionality, is owned by WeaveONE and its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2. Limited Licence: Subject to these Terms, WeaveONE grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the App for its intended purposes.

6.3. Restrictions: You may not copy, modify, distribute, sell, or lease any part of the App or its content, nor may you reverse engineer or attempt to extract the source code of the App, unless such restrictions are prohibited by law or you have our written permission.

6.4. Feedback: If you provide any feedback, suggestions, or ideas about the App, you grant WeaveONE a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback without any obligation to compensate you.

7. Content Ownership and User-Generated Content

7.1. User Content Ownership: Users retain ownership of any content they create, upload, or share through the App.

7.2. Licence to WeaveONE: By creating, uploading, or sharing content through the App, you grant WeaveONE a non-exclusive, royalty-free, worldwide licence to use, store, display, reproduce, and distribute such content solely for the purpose of providing and improving the App and Services.

7.3. Content Responsibility: You are solely responsible for any content you create, upload, or share through the App and represent that you have all necessary rights to such content.

7.4. Content Removal: WeaveONE reserves the right to remove any content that violates these Terms or that WeaveONE determines, in its sole discretion, is harmful, offensive, or otherwise inappropriate.

8. Subscription Terms

8.1. Subscription Options: WeaveONE offers various subscription options, including monthly and annual plans, as described on our website and within the App.

8.2. Free Access: WeaveONE may offer a free tier for new Users. Paid plans unlock additional features and are required to continue accessing premium functionality.

8.3. Subscription Benefits: Paid subscriptions provide access to all current features of the App, as well as future feature updates. The specific benefits of each subscription option are described on our website and within the App.

8.4. Subscription Modifications: WeaveONE reserves the right to modify the subscription options, pricing, and benefits at any time. Any changes to existing subscriptions will be communicated to Users in advance.

9. Payment Policies

9.1. Pricing: All prices are shown in GBP (£) and are inclusive of applicable taxes unless otherwise stated.

9.2. Payment Methods: WeaveONE accepts payment methods as specified on our website and within the App. You agree to provide accurate and complete payment information.

9.3. Recurring Payments: For monthly or annual subscriptions, your payment method will be charged automatically at the beginning of each subscription period until you cancel.

9.4. Payment Failures: If a payment fails, WeaveONE will attempt to process the payment again. If the payment continues to fail, your subscription may be suspended or terminated.

10. Cancellation and Refund Processes

10.1. Cancellation: You may cancel your subscription at any time through your account settings or by contacting customer support. Upon cancellation, you will continue to have access to the App until the end of your current billing period.

10.2. No Prorated Refunds: WeaveONE does not provide prorated refunds for the unused portion of your subscription period if you cancel before the end of that period.

10.3. Refund Policy: Refunds may be issued at WeaveONE's discretion in cases of technical issues that prevent access to the App or for other exceptional circumstances. Requests for refunds should be submitted to customer support.

10.4. One-Time Purchases: One-time plan purchases are non-refundable after 14 days from the date of purchase.

Important Notice Regarding One-Time Plans: One-time plan purchases grant access to the WeaveONE platform for the duration the platform remains operational and financially sustainable. WeaveONE reserves the right to discontinue, sunset, or materially modify the platform if it becomes financially unsustainable or if continuing operations is no longer viable. In such circumstances, WeaveONE will provide reasonable advance notice to users. No refunds will be provided if the platform is discontinued due to financial unsustainability or business closure.

11. Limitation of Liability

11.1. Disclaimer of Warranties: The App and Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2. No Medical Advice: WeaveONE does not provide medical, psychological, or therapeutic advice, diagnosis, or treatment. The App is designed to support, not replace, professional care for neurodivergent children.

11.3. Limitation of Liability: To the maximum extent permitted by law, WeaveONE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, resulting from your access to or use of, or inability to access or use, the App or Services.

11.4. Cap on Liability: In no event shall WeaveONE's total liability to you for all claims arising from or relating to these Terms, the App, or the Services exceed the amount paid by you to WeaveONE during the twelve (12) months immediately preceding the event giving rise to such liability.

12. Disclaimers

12.1. Not a Substitute for Professional Care: WeaveONE is designed to support neurodivergent children and their families but is not a substitute for professional medical, psychological, educational, or therapeutic care. Users should consult with qualified professionals for specific advice related to their child's needs.

12.2. No Guarantee of Outcomes: WeaveONE does not guarantee any specific outcomes or improvements from using the App or Services.

12.3. Third-Party Content: The App may contain links to third-party websites or resources. WeaveONE is not responsible for the content, accuracy, or practices of any third-party websites or resources.

12.4. Service Interruptions: WeaveONE does not guarantee that the App or Services will be uninterrupted, timely, secure, or error-free.

13. Dispute Resolution

13.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

13.2. Informal Resolution: Before filing a claim against WeaveONE, you agree to attempt to resolve the dispute informally by contacting WeaveONE. If WeaveONE cannot resolve the dispute with you informally, either party may initiate formal proceedings.

13.3. Formal Proceedings: Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by the courts of England and Wales.

13.4. No Class Actions: You may only resolve disputes with WeaveONE on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.

14. Termination Policies

14.1. Termination by User: You may terminate your account at any time by following the instructions in the App or by contacting customer support.

14.2. Termination by WeaveONE: WeaveONE may terminate or suspend your account and access to the App and Services at any time for any reason, including if WeaveONE believes that you have violated these Terms.

14.3. Effect of Termination: Upon termination, your right to use the App and Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14.4. Data Retention: After termination, WeaveONE may retain your data for a period of time in accordance with our Privacy Policy and legal obligations.

15. Miscellaneous Provisions

15.1. Entire Agreement: These Terms constitute the entire agreement between you and WeaveONE regarding the App and Services and supersede all prior agreements and understandings.

15.2. Amendments: WeaveONE reserves the right to modify these Terms at any time. We will notify Users of any material changes to these Terms. Your continued use of the App after such modifications constitutes your acceptance of the modified Terms.

15.3. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.4. No Waiver: WeaveONE's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.5. Assignment: You may not assign or transfer these Terms or your rights and obligations under these Terms without WeaveONE's prior written consent. WeaveONE may assign or transfer these Terms without restriction.
